1. Acceptance of Terms

By creating an account, accessing, or using the Service, you confirm that you can form a binding contract with Mentrast, that you accept these Terms and that you agree to comply with them. Your access to and use of our Service is also subject to our Privacy Policy and Data Processing Agreement.

2. Modifications

We may modify these Terms at any time. If we do so, we will post the modified Terms on the Service and update the "Last Updated" date. It is your responsibility to review the Terms frequently. Continued use of the Service signifies your acceptance of the modified Terms.

3. Accounts and Security

3.1 Registration: You must provide accurate and complete information when creating an account. You are responsible for safeguarding your password.

3.2 Security and Integrity: We reserve the right to verify your identity if we detect unusual activity that suggests automated or non-human use of the platform.

3.3 Prohibited Activities: "Smurfing" (creating multiple accounts to manipulate competitive rankings) or sharing accounts ("Account Boosting") is strictly prohibited and will result in immediate termination.

4. Verifying your learning

Mentrast uses specific methods to assess how well you understand a topic. You acknowledge that:

No Guarantee of Mastery: Our progress markers are based on your previous performance and are not a guarantee of future knowledge.
System Updates: We reserve the right to update our learning paths and verification methods to ensure the best experience for all users.
Beta Features: Certain features labeled "Beta" or "Experimental" are provided "as-is" and may contain bugs.

5. Subscriptions and Payments

5.1 Billing Cycle: Subscriptions are billed in advance on a monthly or annual basis. You authorize us to charge your payment method for the full term.

5.2 Cancellation: You may cancel your subscription at any time via Settings > Billing > Cancel Subscription. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds.

5.3 Rate Limiting: API access included in Enterprise plans is subject to a rate limit of 1,000 requests per minute. Exceeding this may result in temporary throttling.

5.4 Free Beta Period: During the initial "Public Beta" phase, Mentrast is provided free of charge. We reserve the right to introduce paid plans in the future with 30 days' notice.

6. Intellectual Property Rights

6.1 Your Content: You own the data you enter. You grant Mentrast a license to use it solely to operate and improve the Service.

6.2 Mentrast Property: Mentrast features, including our learning maps and verification systems, are the exclusive property of Mentrast Inc.

7. Acceptable Use Policy

You agree not to do any of the following:

Reverse Engineering: Decompile, disassemble, or reverse engineer any aspect of the Service.

Automation: Use any robot, spider, crawler, scraper or other automated means to access the Service.

Interference: Upload viruses, worms, or other malicious code.

8. Confidentiality

"Confidential Information" means all non-public information disclosed by a party to the other party that is designated as confidential or implies confidentiality. Each party agrees to protect the other party's Confidential Information with the same degree of care that it uses to protect its own confidential information.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND. WITHOUT LIMITING THE FOREGOING, WE EXPLICITLY DISCLAIM ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS.

10. Limitation of Liability

READ CAREFULLY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MENTRAST INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, OR ANY LOSS OF DATA RESULTING FROM (A) YOUR USE OF THE SERVICE; (B) ANY THIRD PARTY CONTENT; OR (C) UNAUTHORIZED ACCESS TO YOUR DATA.

11. Indemnification

You agree to defend, indemnify and hold harmless Mentrast and its officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (a) your use of and access to the Service; (b) your violation of any term of these Terms; or (c) your violation of any third party right, including without limitation any copyright, property, or privacy right.

12. Dispute Resolution and Arbitration

12.1 Binding Arbitration: You and Mentrast agree that any dispute, claim or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation or validity thereof or the use of the Service (collectively, "Disputes") will be settled by binding arbitration.

12.2 Class Action Waiver: YOU AND MENTRAST AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

13. Termination

We may terminate or suspend your access to and use of the Service, at our sole discretion, at any time and without notice to you. You may cancel your account at any time via Settings > Account > Delete Account. Upon any termination, discontinuation or cancellation of the Service or your account, the following Sections will survive: 6, 9, 10, 11, and 12.

14. General Terms

14.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of Lagos, Nigeria, without regard to its conflict of law provisions.

14.2 Force Majeure: Mentrast shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargos, acts of civil or military authorities, fire, floods, accidents, strikes or shortages of transportation facilities, fuel, energy, labor or materials.

14.3 Entire Agreement: These Terms constitute the entire and exclusive understanding and agreement between Mentrast and you regarding the Service.
